Client Agreement

This Client Agreement ("Agreement") is entered into by and between Contractor Connects Network, LLC ("Company," "we," or "us") and any person or business using the Contractor Connects platform ("Client," "you," or "your"). By using the Platform, you agree to the terms below.
1. Services Provided
- 1.1 The Company operates a digital platform ("Platform") that connects Clients with independent contractors ("Contractors") for home improvement and related projects.
- 1.2 Clients may submit project descriptions and photographs through the Platform. The Platform may generate preliminary, non-binding estimates using artificial intelligence ("AI Estimates"). These AI Estimates are provided for informational purposes only and do not constitute offers, guarantees, or binding pricing.
- 1.3 Contractors may review the Client's description, photographs, and AI Estimate to provide formal itemized bids ("Contractor Bids"). Clients can compare Contractor Bids along with contractor reviews, credentials, and past project portfolios before selecting a Contractor.
- 1.4 Once a Client selects a Contractor, a "Match" is formed. At that point, the Contractor may conduct a site visit to confirm scope and pricing. Adjustments may be made if actual site conditions differ from the Client's description or uploaded materials.
- 1.5 The Platform is provided free of charge to Clients. The Company does not perform construction, repair, or related services.
2. Client Responsibilities
- 2.1 You are responsible for evaluating, selecting, and engaging Contractors.
- 2.2 You are solely responsible for reviewing Contractor Bids, understanding exclusions, and approving or rejecting adjustments after site visits.
- 2.3 You agree to exercise due diligence in verifying Contractor qualifications, licenses, and insurance coverage.
2.4 Licensing & Background Screening
All Contractors on the Platform are required to hold an active license issued by the Florida Department of Business & Professional Regulation (DBPR) or other applicable licensing authority. As part of the licensing process, Contractors undergo state-administered background screening. The Company verifies the active status of each Contractor's license through the DBPR's public records.
In addition, the Company may offer optional Contractor Connects Verified Background Checks. Contractors who complete this process are identified with a verification badge to help Clients make informed decisions. Participation in this program is optional, and not all Contractors on the Platform may be verified. Clients are encouraged to perform any additional due diligence they deem appropriate.
3. No Guarantee or Warranty
- 3.1 AI Estimates are generated for reference only and may differ from Contractor Bids and final project costs.
- 3.2 The Company does not warrant the quality, accuracy, safety, legality, or outcome of any work performed by Contractors.
- 3.3 The Company does not guarantee that you will find a suitable Contractor or that any Contractor will complete a project to your satisfaction.
4. Payments
- 4.1 All payments for services are made directly between Clients and Contractors.
- 4.2 The Company does not handle Client funds and is not responsible for payment disputes.
- 4.3 Clients are not charged any fees for using the Platform.
5. Disclaimers & Limitation of Liability
- 5.1 The Platform is provided "as-is" without warranties of any kind.
- 5.2 To the fullest extent permitted by law, the Company shall not be liable for any damages (including direct, indirect, incidental, or consequential) arising out of or related to:
- –Contractor performance,
- –Discrepancies between AI Estimates, Contractor Bids, and final project costs,
- –Property damage,
- –Injuries, accidents, or safety issues,
- –Payment or refund disputes.
6. Indemnification
- You agree to indemnify and hold harmless the Company from any claims, damages, or expenses resulting from your use of the Platform, including disputes with Contractors.
7. Dispute Resolution
- 7.1 Any disputes regarding project terms, payments, or performance shall be resolved directly between the Client and Contractor.
- 7.2 Any disputes involving the Company shall be resolved by binding arbitration in Flagler County, Florida, under the rules of the American Arbitration Association.
- 7.3 Class action lawsuits and jury trials are waived.
8. Termination
- The Company may suspend or terminate Client access to the Platform at any time for violation of this Agreement or misuse of the Platform.
9. Governing Law
- This Agreement shall be governed by the laws of the State of Florida, without regard to conflicts of law principles.
10. Entire Agreement
- This Agreement constitutes the entire agreement between the Client and the Company regarding Platform use.
2.4 Verified Contractor Program
Contractor Connects Network, LLC ("Company") maintains a multi-tier verification and recognition system (the "Badge Program") to promote transparency and help Clients make informed hiring decisions. Each Contractor's profile may display one or more verification badges indicating that certain credentials or documentation were reviewed by the Company or a designated third-party service at the time of verification.
The Badge Program currently includes the following tiers:
- Tier 1 – Verified Contractor: License and proof of active liability insurance confirmed.
- Tier 2 – Trusted Contractor: All Tier 1 criteria plus a Company-approved background check and verified client references.
- Tier 3 – Gold Contractor: All Tier 2 criteria plus verified trade certifications and participation in Contractor Connects community or training events.
Display of a badge does not constitute an endorsement, warranty, or guarantee by the Company of the Contractor's performance, reliability, or financial responsibility. Badges reflect information verified as of the date issued and may expire or be revoked if documentation lapses or fails re-verification.
Clients are encouraged to perform their own due diligence and request additional documentation (including insurance certificates, references, and licenses) before entering into agreements with any Contractor.
3.4 Verification Disclaimers
The Verified Contractor Program is designed to increase transparency only. The Company does not independently guarantee the accuracy of information supplied by Contractors or third-party verification providers. Use of badges and verification designations is subject to change without notice.
