Contractor Agreement

This Contractor Agreement ("Agreement") is entered into by and between Contractor Connects Network, LLC ("Company," "we," or "us") and the undersigned contractor ("Contractor," "you," or "your"). By registering for and using the Contractor Connects platform ("Platform"), you agree to the following terms:
1. Services Provided
- 1.1 The Company operates a digital platform that connects Clients with Contractors for home/commercial/industrial improvement and related projects.
- 1.2 Clients may submit project descriptions and photographs. The Platform may generate preliminary, non-binding estimates using artificial intelligence ("AI Estimates"). These AI Estimates are for reference only and do not create binding offers or pricing.
- 1.3 Contractors may review Client submissions and AI Estimates to provide formal itemized bids ("Contractor Bids").
- 1.4 A "Match" occurs when a Client selects a Contractor based on reviews, prior work, and Contractor Bid. At that point, the Contractor shall conduct a site visit to confirm or adjust the bid. Any material changes must be disclosed to the Client and confirmed through the Platform before work begins.
- 1.5 The Company does not perform construction, repair, or related services, and is not a party to agreements between Clients and Contractors.
2. Brokerage Fees
- 2.1 Fee Trigger. Brokerage fees are due only when a Client places a deposit on a job originated through the Platform.
- 2.2 Payment Deadline. Brokerage fees are due within ten (10) days of deposit or initial payment from the Client, whichever occurs first.
• 2.3 Fee Schedule (Cumulative). Brokerage fees are calculated progressively, based on Cumulative Job Value (CJV):

- –$750 job → $75 fee
- –$1,800 job → $172 fee

- –$30,000 job → $1,935 fee
- 2.4 Refunds. If the Contractor refunds the Client, the Company will refund/credit the brokerage fee proportionally to the amount refunded. Proof of refund must be provided.
- 2.5 Change Orders. If the project expands, additional brokerage fees apply only to the incremental increase.
- 2.6 Payments. Fees are payable via PayPal or Zelle at deposit; reconciled at job close.
3. Job Documentation
- 3.1 Contractor shall provide accurate, itemized bids through the Platform that detail materials, labor, and other cost components.
- 3.2 Contractor shall maintain accurate quotes, contracts, invoices, and change orders for all projects originated through the Platform.
- 3.3 The Company may request copies of such documentation at any time for verifying Cumulative Job Value (CJV), confirming refunds or change orders, or auditing compliance.
- 3.4 Failure to provide requested documentation within a reasonable time may result in suspension of Platform access and/or fees assessed based on reasonable estimates by the Company.
4. Anti-Gaming & Fairness Rules
- 4.1 Aggregation. Work for the same Client, address, and trade/scope within 60 days is treated as one job for fee purposes.
- 4.2 Pilot Waivers. During the pilot, the first two completed projects in each fee category are waived. Splitting projects does not create additional waivers.
- 4.3 Reconciliation. If a job grows, previously paid fees are credited, and only the incremental difference is due.
- 4.4 Non-Circumvention. For 180 days after first contact through the Platform, you may not bypass the Platform for the same scope/address. Doing so subjects you to the applicable brokerage fee and possible termination.
- 4.5 Disputes. Contractors may dispute a fee within 7 days by providing Job ID, scope, and supporting documentation. The Company will review and adjust if warranted.
5. Contractor Obligations
- 5.1 Provide accurate trade, license, insurance, and service area information.
- 5.2 Submit itemized Contractor Bids consistent with the project description and AI Estimate provided, acknowledging that discrepancies may be reviewed during site visits.
- 5.3 Respond promptly to job notifications and honor accepted Matches.
- 5.4 Communicate early with Clients if you cannot fulfill a project or if significant scope adjustments arise from a site visit.
- 5.5 Participate in at least one feedback session during the pilot period.
6. Limitation of Liability
- The Company is not liable for project performance, safety, property damage, payment disputes, or any direct/indirect damages related to Contractor services.
7. Indemnification
- You agree to indemnify and hold harmless the Company from claims, damages, or expenses arising from your work or conduct, including disputes with Clients.
8. Dispute Resolution
- Any disputes with the Company shall be resolved by binding arbitration in Flagler County, Florida, under the rules of the American Arbitration Association. Class actions and jury trials are waived.
9. Termination
- The Company may suspend or terminate Contractor accounts for nonpayment, circumvention, failure to provide documentation, misrepresentation, or violation of this Agreement.
10. Governing Law
- This Agreement shall be governed by the laws of the State of Florida.
11. Entire Agreement
- This Agreement, together with the Brokerage Fee Schedule above, constitutes the full agreement between the Contractor and the Company.
12. Vetting & Eligibility Requirements
- 12.1 Initial Requirements. Contractor acknowledges that participation on the Platform is contingent upon compliance with the Company's Vetting Checklist (attached as Exhibit B). At a minimum, Contractor must provide and maintain:
- –Valid professional licenses and certifications, as required by applicable law.
- –Proof of active general liability insurance.
- –Evidence of business registration or incorporation.
- –Professional references and/or proof of prior work.
- –Consent to reputation checks, verification, or compliance reviews.
- –Completion of onboarding assessments, training, or interviews, if requested.
Participation in the Contractor Connects Verified Background Check program is optional. Contractors who complete the process receive a verification badge visible to Clients. As an incentive, the Company provides this verification free of charge for the first five Contractors. Thereafter, the cost is passed through to the Contractor at $100. Contractors who do not participate remain eligible to use the Platform but will not display the verification badge.
- 12.2 Ongoing Compliance. Contractor shall maintain all vetting requirements throughout participation on the Platform and promptly notify the Company of any material changes.
- 12.3 Company Rights. The Company may periodically review, update, or expand the Vetting Checklist. Contractor's continued use of the Platform constitutes agreement to comply with the updated Checklist.
- 12.4 Enforcement. Failure to satisfy the Vetting Checklist requirements shall be grounds for immediate suspension or termination of this Agreement.

13. Verification & Badge Program
13.1 Purpose. Contractor Connects Network, LLC ("Company") maintains a multi-tier verification and recognition system (the "Badge Program") designed to promote transparency, professionalism, and client confidence on the Platform.
13.2 Badge Tiers. Contractors may earn one or more of the following designations based on submitted documentation and verified criteria:
- Tier 1 – Verified Contractor: Valid license and proof of active general liability insurance.
- Tier 2 – Trusted Contractor: All Tier 1 criteria + completion of a Company-approved criminal background check + two (2) verified client references and one (1) verified project review.
- Tier 3 – Gold Contractor: All Tier 2 criteria + verified manufacturer/trade certifications and participation in at least one Contractor Connects community event or training session.
13.3 Verification Process. Contractors seeking a badge must submit supporting documentation through the Platform. The Company, or a designated third-party service, will verify authenticity and maintain audit records.
13.4 Representation & Accuracy. Contractor warrants that all documents and statements provided for verification are true, accurate, and current. Submission of false or misleading information constitutes grounds for suspension or termination under Section 9.
13.5 Use of Badges. Badges appear on Contractor profiles within the Platform. Badges signify that the listed criteria were verified as of the date issued; they do not constitute an endorsement, warranty, or guarantee by the Company of Contractor performance or reliability.
13.6 Revocation & Expiration. The Company reserves the right to revoke, suspend, or modify badges at any time if documentation expires, is invalidated, or verification standards change. Unless otherwise stated, all badges must be renewed annually.
13.7 Program Changes. The Company may revise badge tiers, criteria, or procedures at its discretion. Continued use of the Platform constitutes acceptance of any updated criteria.
13.8 Fees. The initial background-check fee for Tier 2 verification will be subsidized by the Company for the first ten (10) Contractors. Thereafter, Contractors may elect to complete or renew background checks at the then-current published cost.
13.9 No Transfer. Badges are personal to the verified Contractor or business entity and are non-transferable.
